Terms of Service

These terms cover your organization's use of Chiron, made by Mad Science Software B.V. (trading as Mad Science Software). They apply to the Team plan and the free trial, and to Enterprise together with your order form.

Effective 12 October 2026

1. Who we are and who these terms are for

Chiron is provided by Mad Science Software B.V., registered at Joop Geesinkweg 601, 1114 AB Amsterdam-Duivendrecht, the Netherlands, Chamber of Commerce number 42084958, value added tax (VAT) number NL869638476B01 ("we", "us"). You can reach us at inquiries@madsciencesoftware.dev.

Chiron is for businesses. "You" means the organization that creates a team in Chiron, represented by the person who creates it (the team's owner). By creating a team, starting a trial or subscribing, that person confirms they may bind the organization to these terms. "Members" are the people your team invites. Chiron is not offered to consumers or to anyone under 18.

2. What Chiron is

Chiron gives the artificial intelligence (AI) assistants your team already uses one shared memory. It has three parts:

The app
Runs on each member's own computer. It keeps that person's memories in a database file on the computer, and it turns text into searchable form (embeddings) and answers recall questions there too, without sending the question to us. The exception is a web-based assistant a member chooses to connect, described under AI assistants.
The team server
When a computer is connected to a team, the app copies (syncs) the team's shared memories to a server we run, so they reach teammates. A member's private memories stay on that member's computers, unless the member turns on private backup in the app; then the app also syncs them to the server, so they survive a lost computer. Private memories are visible only to the person who saved them; shared memories are visible to everyone on the team.
The website and dashboard
Where owners and admins manage members, devices, the sharing policy and billing, and where each member can read the team's shared memories and their own private memories that are on the team server.

The AI assistants themselves (for example Claude Code, Codex or Gemini CLI) are other companies' products, connected through the Model Context Protocol (MCP). They are not part of Chiron and their own terms apply to them.

3. Accounts, members and devices

You sign in with Google or with an email address and password. Keep sign-in details to yourself; you are responsible for what is done through your team's accounts and connected computers.

The owner and admins decide who joins the team, can remove members and can disconnect (revoke) any member's computer from the team server. The team's owner can't be removed. Each member uses one seat.

4. Free trial, plans and payment

Prices, seat minimums, trial length and storage limits are those shown on our pricing page when you subscribe. The trial needs no card; when it ends without a subscription, syncing stops and members' AI assistants can't use Chiron memory until you subscribe.

The Team plan is billed per seat, monthly or yearly, in advance, through our payment provider Stripe. Applicable taxes, such as VAT or sales tax, are added at checkout. Subscriptions renew automatically at the end of each period until cancelled. You can change seats, update your card, see invoices and cancel in the billing portal.

If a payment fails, we and Stripe will try again for a time; if it still isn't paid, the subscription ends, syncing stops and members' AI assistants can't use Chiron memory. Refunds: monthly subscriptions aren't refunded: you can cancel at any time and keep access until the end of the month you've paid for. Annual subscriptions are refunded in full if you cancel within 30 days of the first annual payment, and aren't refunded after that. We may refund more at our discretion, for example after a billing mistake or a serious outage.

We may change prices for future billing periods; we will tell the owner at least 30 days beforehand, and the new price applies from your next renewal.

5. Enterprise

Enterprise is agreed with us in an order form, which sets its price, seats, limits, onboarding and any connectors. Where the order form and these terms differ, the order form wins.

Enterprise plans can include connectors that read from other systems your organization uses, such as Gmail, Slack, Google Drive or Microsoft 365. What a connector reads, where it stores what it reads, and who can switch it off are set out in the Enterprise order form before it is turned on.

6. Storage limits

Each plan has a limit for the private memories each member backs up to the team server and one for shared memories, measured in tokens (pieces of words). When a limit is reached, the team server refuses new memories in that space until some are deleted or unshared, or the plan changes. Memories already on each computer keep working.

7. Your content

Everything your team puts into Chiron (emails, documents, notes, conversation history and the memories made from them) stays yours. You give us only the permission we need to store, copy, sync and display it to the people your settings allow, to run and support Chiron for you.

We do not sell your content, use it to advertise, or use it to train AI models. Our staff tools show a team's plan, seat count and how much storage it uses, not what its memories say.

8. Your responsibilities

Your team often puts other people's information into Chiron, such as clients' emails and documents. You are responsible for having the right to do so, for telling those people where your privacy notices require it, and for what your members choose to share with the team. Your owner can publish a sharing policy that members see when they decide what to share.

You agree not to:

  • use Chiron to break the law or anyone's rights, including privacy and intellectual property rights;
  • upload malware, or try to reach other teams' data, probe or overload our systems, or get around limits or security;
  • resell Chiron or give access to people outside your organization, except as members you invite;
  • copy or reverse engineer Chiron except where the law allows it.

9. AI assistants and other services

When an assistant recalls something, the app passes the matching memories to that assistant on the member's computer. From there the assistant's provider processes them under its own terms. Choosing which assistants your team uses, and whether their terms suit the data you keep in Chiron, is up to you.

Members may also choose to connect a web-based assistant, such as claude.ai or ChatGPT, to Chiron. Those assistants can't reach a member's computer, so for them recall runs on our servers instead: the assistant sends the member's question to us, we search the memories that member may see (the team's shared memories and the member's own private memories that are on the team server) and return the matches to the assistant. This access is read-only, is off until a member signs in and approves it, and can be disconnected at any time. We don't store the questions; we keep only the record of which assistant was connected, by whom, and when. The assistant's provider then processes what it receives under its own terms, as above.

10. Privacy and data protection

Our Privacy Policy explains what we collect about the people who use Chiron. For the personal data your team keeps in Chiron, you are the controller and we process it for you under the Data Processing Agreement, which forms part of these terms.

11. Availability and changes to Chiron

We work to keep the team server and website running, but provide them as available, without a guaranteed uptime unless an Enterprise order form says otherwise. Recall keeps working on each computer while the team server is unreachable, for up to 30 days after that computer last synced; syncing resumes when the server returns.

Chiron is in active development. We may change or remove features; if a change takes away something central to your plan, we will tell the owner beforehand and you may cancel.

12. Cancelling and ending

The owner can cancel at any time in the billing portal. Cancellation takes effect at the end of the paid period; after that, syncing with the team server stops and members' AI assistants can't use Chiron memory.

Memories already on each member's computer stay there, under that member's control, including shared memories they had received; members can still view and delete them in the app. Removing a member or disconnecting a computer stops it syncing, but does not erase what that computer already holds.

When a subscription ends, or a free trial ends without one, syncing stops and the team's data stays on the team server for 30 days, so the owner can resubscribe and members can download their memories. After that we delete it: every memory, invitation and registered computer. The owner can also delete the team at any time from the dashboard; that deletes it at once and ends the subscription without a refund.

We may suspend or end your access if you seriously break these terms or don't pay, after notice where that's reasonable.

13. Warranties

We will provide Chiron with reasonable skill and care. Beyond that, and as far as the law allows, Chiron is provided "as is". AI assistants can misread or misuse what they recall; check important answers before relying on them.

14. Liability

As far as the law allows, neither of us is liable for indirect or consequential loss, or for lost profits, revenue or data, and our total liability under these terms is limited to the fees you paid us for Chiron in the 12 months before the event giving rise to the claim. Nothing in these terms limits liability for intent, gross negligence, fraud, or anything else that can't be limited by law.

15. Changes to these terms

We may update these terms. We will tell the owner of each team at least 30 days before a change that affects you takes effect. If you don't agree, you may cancel before then.

16. Law and disputes

These terms are governed by the laws of the Netherlands. Disputes go to the competent court in Amsterdam, the Netherlands.
